Agreement & Scope

By accessing, using, purchasing, or signing up for LumioForge, you agree to these Terms of Service and any applicable order, checkout, proposal, invoice, or written scope that governs your use of the service.

LumioForge is a roofing-focused software and setup service that may include lead response workflows, email and SMS follow-up, stop-on-reply logic, inbox and thread handling, review-request workflows, visibility tools, and related onboarding, setup, and support.

If you use LumioForge on behalf of a company or organization, you represent that you have authority to bind that company or organization to these terms.

Commercial Model & Fees

Fees, billing terms, setup charges, pilot pricing, recurring subscriptions, credits, and any offer-specific terms are governed by your checkout, invoice, order form, or written scope.

Unless otherwise stated, fees are due as billed, subscriptions renew according to the purchased billing cycle, and unpaid amounts may result in suspension or limitation of service.

You are responsible for providing accurate billing information and for any taxes, duties, or similar charges that apply unless expressly stated otherwise.

Deliverables, Ownership & Reuse

LumioForge remains the owner of the platform, software, workflows, branding, and service materials, except for Customer Data and any rights expressly granted to you.

You retain ownership of the business, lead, customer, and contact data you submit to the service, but you grant LumioForge the rights needed to host, process, route, display, copy, and otherwise use that data as necessary to provide, support, secure, and improve the service.

Unless otherwise agreed in writing, reuse rights, custom work, setup deliverables, workflow logic, visibility tools, and support materials remain part of the LumioForge service model and are licensed, not sold.

Guarantees, Confidentiality & Data Protection

If your offer includes a handled setup promise, go-live commitment, working-flow guarantee, or 30-Day Love-It-or-Leave-It guarantee, the exact remedy, scope, timing, eligibility, exclusions, and credit or refund rules are defined by the applicable offer, order, checkout page, or written scope.

Guarantees do not apply where delays or failures are caused by missing customer access, missing approvals, inaccurate data, customer-requested scope changes, third-party outages, provider restrictions, or unlawful or noncompliant use.

Each party will protect the other party’s confidential information with reasonable care and use it only as needed for the business relationship, except where disclosure is required by law or necessary to enforce rights.

LumioForge will process personal data in accordance with its Privacy Policy and, where applicable, as a service provider or processor acting on the customer’s instructions for customer-controlled data.

Acceptable Use, Warranties, Liability & Indemnities

You are responsible for your use of LumioForge, including the lawfulness of your lead data, customer data, message content, targeting, review-request practices, and any email or SMS communications sent through or with the help of the service.

You may not use LumioForge for spam, fraud, harassment, deceptive messaging, unlawful telemarketing, prohibited content, security abuse, or any activity that violates applicable law or the rights of others.

LumioForge is provided on an “as is” and “as available” basis to the maximum extent permitted by law. We do not guarantee booked inspections, revenue, lead quality, inbox placement, carrier delivery, uninterrupted uptime, or that every error will be corrected.

To the maximum extent permitted by law, LumioForge will not be liable for indirect, incidental, special, consequential, punitive, or similar damages, and our total liability arising out of or relating to the service will not exceed the amount paid by you to LumioForge for the applicable service during the twelve months before the event giving rise to the claim.

You agree to indemnify and hold LumioForge harmless from claims, losses, and expenses arising out of your data, your communications, your misuse of the service, or your violation of these terms or applicable law.

Notices, Termination, Assignment & General

LumioForge may suspend or limit access if fees are overdue, if we reasonably suspect abuse, unlawful use, spam, fraud, security risk, or provider-policy violations, or if continued access could harm the service, other users, or third parties.

Either party may terminate the relationship as allowed by the applicable plan, order, offer, or written scope. Upon termination, your right to use the service ends, but accrued payment obligations and provisions that should survive by their nature will continue.

LumioForge may update these terms from time to time. Continued use after the updated effective date means the updated terms apply to future use, except where additional consent is required by law.

You may not assign these terms without LumioForge’s prior written consent, except in connection with a merger, acquisition, or sale of substantially all of your business. LumioForge may assign these terms in connection with a merger, acquisition, restructuring, or asset transfer.

These terms, together with any applicable checkout, order, invoice, proposal, or written scope, form the entire agreement for the service unless a separate signed agreement states otherwise
